Terms of Service

1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and ONEBI SOFTWARE LLP ("Company," "we," "us," or "our"), concerning your access to and use of Accosync — a Tally-integrated mobile and analytics platform — as well as any other media form, channel, mobile application, or website related, linked, or otherwise connected thereto (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. OUR SERVICES

Accosync provides secure cloud connector services, mobile applications (Android and iOS), and analytics tools enabling businesses and accountants to access live Tally ERP 9 and Tally Prime accounting data remotely.

Users can check reports, manage outstanding balances, view stock levels, and create vouchers directly from mobile devices. Services are available subject to active subscriptions or valid trial periods.

3. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business or professional accounting operations.

4. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete.
• You have the legal capacity and authority to agree to these Terms.
• You will not access the Services through automated or non-human means, such as bots or scripts.
• You will not use the Services for any illegal or unauthorized purpose.
• Your use of the Services will not violate any applicable law or regulation in India or your jurisdiction.

5. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include:

• Systematically retrieving data or content to create a collection or database without written permission from us.
• Attempting to bypass security measures or access restricted areas of the platform.
• Reverse engineering, decompiling, or disassembling any software comprising or in any way making up a part of the Services.
• Interfering with, disrupting, or creating an undue burden on the Services or connected networks.
• Using the Services in any effort to compete with us or for unauthorized resale.

6. SUBSCRIPTIONS, FEES & POLICIES

Accosync offers a 7-day free trial. Paid subscriptions are billed in advance on a recurring monthly or annual basis.

Payments are processed securely through authorized payment gateways (including Razorpay). Subscription fees and billing policies are subject to our related legal policies:

7. TERM AND TERMINATION

These Terms of Service shall remain in full force and effect while you use the Services. We reserve the right to deny access to, suspend, or terminate your account at our sole discretion without notice or liability for any breach of these Terms.

8. MODIFICATIONS AND SERVICE INTERRUPTIONS

We reserve the right to change, modify, or remove contents or features of the Services at any time. While we strive for 99.9% uptime, we do not guarantee uninterrupted service and are not liable for downtime caused by internet service providers, local Tally configuration issues, or maintenance windows.

9. GOVERNING LAW

These Terms shall be governed by and defined following the laws of India. ONEBI SOFTWARE LLP and yourself irrevocably consent that the courts of Bhubaneswar, Odisha, India shall have exclusive jurisdiction to resolve any dispute.

10. DISPUTE RESOLUTION

In the event of any dispute or claim, the parties agree to first attempt informal resolution by contacting [email protected] for a minimum of 30 days prior to initiating formal legal proceedings or arbitration.

11. DISCLAIMERS AND LIMITATION OF LIABILITY
